1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the website allpartsin.com (the “Site”) operated by API INTERNATIONAL INC, doing business as “AllPartsIn” (“we”, “our”, or “us”), and your purchase of industrial parts, equipment, and related services from us. By accessing the Site, requesting a quote, or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site.
2. Eligibility
You must be at least 18 years old and able to form a legally binding contract to use this Site or purchase from us. By using the Site, you represent that you meet these requirements. If you are purchasing on behalf of a business, you represent that you have authority to bind that business to these Terms.
3. Independent Reseller Status
AllPartsIn is an independent US-based reseller and sourcing service. We are NOT an authorized distributor, agent, representative, or affiliate of any manufacturer whose brand, name, trademark, or product appears on this Site, unless explicitly stated in writing.
Manufacturer names, brand names, product part numbers, model numbers, logos, and trademarks displayed on the Site are the property of their respective owners and are used solely for identification, reference, and informational purposes (nominative fair use). Their use on the Site does not imply endorsement, sponsorship, affiliation, partnership, certification, or authorization by the respective trademark holders.
4. Products and Catalog
Our online catalog references industrial parts, equipment, and spare parts associated with over 4,000 brands as a searchable index. We do not stock inventory in advance. Listings on the Site are reference entries — not offers of sale and not a representation that any specific item is available, in stock, or carries a specific price.
Upon receiving a request for quote (RFQ), we work with our supplier network to source the requested part. The specific source, condition (new / refurbished / surplus), origin, warranty terms, lead time, and final price will be confirmed in writing at quote time. Product specifications, availability, and lead times may change without notice.
5. Quotes and Orders
- Quotes are non-binding estimates valid for 30 days unless otherwise stated, and are subject to confirmation upon order placement.
- Prices are quoted in U.S. Dollars (USD) unless otherwise specified.
- An order is not accepted until we issue a written order confirmation. We reserve the right to refuse or cancel any order.
- Errors in pricing, descriptions, or availability may be corrected at any time, even after an order has been placed. In that case, we will notify you and offer to cancel or amend the order.
- Minimum order quantities, special-order, and non-cancellable / non-returnable (NCNR) items may apply and will be flagged on your quote.
6. Payment Terms
- Payment terms are stated on each quote or invoice. Payment is required in advance; we confirm and source your order through our supplier network only after payment is received.
- Prices are quoted in U.S. Dollars (USD) unless otherwise specified.
- You are responsible for all taxes, duties, and tariffs applicable to your order, except where we are required by law to collect them.
- Any late-payment, interest, or balance terms that may apply to a specific approved arrangement will be stated expressly on the applicable quote or invoice.
7. Shipping, Delivery, and Risk of Loss
Unless otherwise agreed in writing, all shipments are FCA (Free Carrier) origin per Incoterms 2020. Title and risk of loss pass to you upon delivery to the carrier. Shipping costs, delivery dates, and routing are estimates and are not guaranteed. We are not liable for delays caused by carriers, customs, force majeure, or events beyond our reasonable control.
For international orders, you are the importer of record and are responsible for clearing customs, paying duties and taxes, and complying with all import regulations in the destination country.
8. Inspection and Acceptance
You must inspect goods upon receipt and notify us in writing of any visible damage, shortage, or non-conformance within 7 days. Failure to notify us within this period constitutes acceptance of the goods.
9. Returns and Refunds
- Returns require prior written authorization (RMA) and must be requested within 30 days of delivery.
- Items must be returned in original, unused condition with all packaging and documentation.
- Special-order, custom, modified, used, or NCNR items are not returnable.
- A restocking fee of up to 25% may apply.
- Return shipping costs are the responsibility of the buyer unless the return is due to our error or a defective product.
- Refunds are issued to the original payment method within 14 business days of receipt and inspection of the returned goods.
10. Warranties
Products sold by AllPartsIn carry only the warranty (if any) provided by the original manufacturer. We pass through such warranties to you to the extent permitted by the manufacturer.
EXCEPT FOR THE MANUFACTURER’S WARRANTY, ALLPARTSIN MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ALL PRODUCTS ARE SOLD “AS IS” AND “WHERE IS”.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALLPARTSIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS.
Our total aggregate liability for any claim arising out of or relating to these Terms or the products sold shall not exceed the amount you paid for the specific products giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless AllPartsIn, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of (a) your breach of these Terms, (b) your misuse of products, (c) your violation of any law or third-party rights, or (d) your failure to comply with import/export regulations.
13. Export Controls and Sanctions
You agree to comply with all applicable U.S. and international export control laws, including the U.S. Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR), and economic sanctions administered by the U.S. Office of Foreign Assets Control (OFAC). You will not export, re-export, or transfer products to any restricted country, entity, or end-use without proper authorization.
14. Intellectual Property
All content on the Site — including text, layout, design, logos, and the AllPartsIn name — is owned by AllPartsIn or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works without our prior written consent.
Manufacturer brand names, logos, and trademarks displayed on the Site are the property of their respective owners.
15. Acceptable Use
When using the Site, you agree not to:
- Use the Site for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Site or our systems
- Interfere with or disrupt the Site or servers
- Scrape, harvest, or collect data from the Site without our prior written consent
- Submit false, misleading, or fraudulent information through any form
- Transmit viruses, malware, or other harmful code
16. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
17. Force Majeure
We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, supply chain disruptions, pandemics, or carrier delays.
18. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of New Jersey, USA, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute arising out of or relating to these Terms or any order shall be resolved exclusively in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of such courts.
19. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.
20. Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted on this page with an updated “Last updated” date. Continued use of the Site after changes constitutes acceptance of the updated Terms.
